Junior Rawlings Gold Glove Award Official Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. Eligibility: Junior Rawlings Gold Glove Contest (the "Contest") is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least twenty-one (21) years old at the time of entry, who are parents or legal guardians of a child age twelve (12) or under who plays or played baseball on an organized team or league in 2006 or 2007. Contestant must have video uploading capability as of January 17, 2007. Employees of Rawlings Sporting Goods Company, Inc., Fleishman-Hillard, Inc., Dick's Sporting Goods Inc., Hibbett Sporting Goods Inc., Dunham's Sports, MC Sports, Modell's Sporting Goods Inc., Sport Chalet Inc., The Sports Authority Inc., Big 5 Sporting Goods Corporation, Academy Sports + Outdoors, Champs Sports, Eastbay, Inc., Baseball Express, Inc., Chick's Sporting Goods, Inc. and ePrize, LLC, and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. Subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law. Participation constitutes Contestant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Sponsor: Rawlings Sporting Goods Company, Inc., 510 Maryville University Drive, Suite 110, St. Louis, MO 63141. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.

3. Timing: The Contest begins on February 22, 2007 at 12:00 a.m. Eastern Time ("ET") and ends on September 7, 2007 at 11:59 p.m. ET (the "Contest Period"). The Contest Period consists of an Upload Phase (the "Upload Phase"), a Judging Phase (the "Judging Phase") and a Voting Phase (the "Voting Phase") as set forth in the chart below. Fleishman-Hillard's computer is the official time-keeping device for this Contest.

4. How to Enter: During the Upload Phase of the Promotion Period, visit www.rawlingsgoldglove.com/junior and follow the links and Contest instructions to register for the Contest. Fill out the registration form completely. Then, follow the links and instructions to upload and submit a recent video of your child, at age twelve (12) or under, making an outstanding defensive play in an organized baseball game during 2006 or 2007. Video must not exceed two (2) minutes in length and must be in .mpeg, .mov, or .wmv format (the "Submission"). You will have the opportunity to provide a text description of fifty (50) words or fewer, describing the set-up, context or situation that made this an exceptional play. By submitting your Submission you agree that Sponsor may post the Submission on their website during the Contest Period.

VIDEO SUBMISSION GUIDELINES: Contestant's Submission must be a video of his or her child, at age twelve (12) or under, from a game played during 2006 or 2007. Submissions must not exceed two (2) minutes in length. Contest Submissions must be the work of the Contestant. You must be the sole owner of the copyright of any video submitted. Your Submission is your guarantee that you are the author and copyright holder of the Submission. In addition, by entering, Contestants represent and warrant that their Submissions do not infringe any other person's or entity's rights.

For all Entries: Submissions must not be staged, set up, inappropriate, indecent or obscene, as determined by Sponsor in its sole discretion. All Submissions determined to be staged, set up, inappropriate, indecent or obscene will be disqualified. Proof of submission or sending is not proof of receipt by Sponsor. Sponsor shall have the right to edit, adapt and publish any or all of the Submissions, and may use them in any media in association with the Contest without attribution or compensation to the Contestant, his/her successors or assigns, or any other entity. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, or misdirected Submissions, which are void.

Limit: Contestant is allowed one (1) Submission per child during the Contest Period. Multiple Contestants are not permitted to share the same e-mail address. Any attempt by any Contestant to enter more than the stated number of Submissions by using multiple/different e-mail addresses, identities, registrations and logins, or any other methods will void that Contestant's Submissions and that Contestant may be disqualified.

5. Judging Phase/Voting Phase: During the Judging Phase, qualified judges will judge each Submission based on the following objective criteria: (60%) the child's fundamental execution of the defensive play; (30%) the context or situation surrounding the play; (10%) public appeal. In the event of a tie between two (2) or more Submissions, judges will break the tie based on the fundamental execution of the play. The ten (10) Submissions with the highest scores will be deemed the finalists (each a "Finalist"). Each Finalist will receive a First Prize. During the Voting Phase, the ten (10) Finalists will be posted in an online gallery for public voting at www.rawlingsgoldglove.com/junior. Visitors to the site will be invited to vote for their favorite Finalist using the judging criteria stated above. Limit: One (1) vote per computer per day. The Finalist which accumulates the most votes during the Voting Phase will be the Contest winner (the "Winner"). In the event of a tie, the Sponsor's judges will re-judge the tied Submissions using the above judging criteria and the Submission with the highest score will be the Winner.

Winner will be announced on or about September 13, 2007. The Finalists and Winner will be notified by mail, e-mail or phone. Potential Winner will be required to sign and return to Sponsor, within ten (10) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim his/her prize. If the potential Winner cannot be contacted, or fails to sign and return the Affidavit of Eligibility, Liability & Publicity Release within the required time period, potential Winner forfeits prize. Finalists and potential Winner must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Failure to comply with this requirement for any reason, return of prize notification or prize as undeliverable or disqualification of a Finalist or Winner for any reason will result in forfeiture of prize. An alternate Finalist or Winner will be selected by the judges from the remaining Submissions based on the next highest number of votes for the Winner and based on the next highest judged score for the Finalist and the prize will be awarded to him or her. Only three (3) alternate winners will be selected, after which the applicable prize will remain un-awarded. Acceptance of any prize shall constitute and signify the Winner's and Finalist's agreement and consent that Sponsor may use the Winner's and/or Finalist's name, city, state, likeness, video, Submission, photos and/or prize information in connection with the Contest worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law. Prizes will be fulfilled eight (8) to ten (10) weeks after winner confirmation.

6. Prizes: ONE (1) GRAND PRIZE: One (1) Junior Rawlings Gold Glove Award. Approximate Retail Value ("ARV"): $200.00. TEN (10) FIRST PRIZES: One (1) per Finalist): One (1) Rawlings Pro Preferred 50th Anniversary Gold Glove. ARV: $300.00. No cash equivalent. All prizes are non-transferable and no substitution will be made unless determined by Sponsor, in its sole discretion. Sponsor reserves the right to substitute the listed prize for one of equal or greater value if a prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use.

7. Release: By receipt of any prize, each Finalist or Winner agrees to release and hold harmless Rawlings Sporting Goods Company, Inc., Fleishman-Hillard, Inc., Dick's Sporting Goods Inc., Hibbett Sporting Goods Inc., Dunham's Sports, MC Sports, Modell's Sporting Goods Inc., Sport Chalet Inc., The Sports Authority Inc., Big 5 Sporting Goods Corporation, Academy Sports + Outdoors, Champs Sports, Eastbay, Inc., Baseball Express, Inc., Chick's Sporting Goods, Inc., and Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company's officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.

8. Publicity: Except where prohibited, participation in the Contest constitutes Finalists' and Winner's consent to Sponsor's and its agents' use of Winner's name, Submission, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, in perpetuity, without any further payment or consideration.

9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or those of any other Promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Contestants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Contestant's participation in the Contest or receipt or use or misuse of any prize. If, for any reason, a Contestant's Submission is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Contestant's sole remedy is another Submission in the Contest. If it is not possible to award another Submission due to discontinuance of the Contest, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. Sponsor is not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Sponsor and Administrator are not responsible for any typographical/other error in entries, selection announcement or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this promotion.

11. Disputes: Except where prohibited, Contestant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' fees; and (3) under no circumstances will Contestant be permitted to obtain awards for, and Contestant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Contestant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

12. Contestant's Personal Information: Information collected from Contestants is subject to ePrize, LLC's Privacy Policy and Sponsor's Privacy Policy.

13. Winner List: For a list of winners and/or a copy of these Official Rules, send a hand-printed, self-addressed, stamped envelope to "Junior Rawlings Gold Glove Contest Winner List/Rules," c/o ePrize, LLC, P.O. Box 8070, Royal Oak, MI 48068-8070. Winner List requests must be received by December 13, 2007. VT residents may exclude return postage for Official Rules.
